Terms of Service — Seaynic Labs LLC

1. Agreement to Terms

By accessing or using any website, application, product, or service owned or operated by Seaynic Labs LLC ("Seaynic Labs," "we," "us," or "our"), collectively referred to as the "Services," you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our Services.

These Terms apply to all users of our Services, including visitors, registered users, and purchasers.

2. Our Services

Seaynic Labs operates the following Services, among others:

• StdOut — self-hosted infrastructure monitoring platform (stdout.seayniclabs.com)
• Hone — AI-powered learning platform (hone.academy)
• Enchapter — AI bedtime story app for children (enchapter.kids, Apple App Store)
• Digital Products — downloadable digital goods sold through Seaynic Labs and third-party marketplaces

The availability, features, and pricing of our Services may change at any time. We will make reasonable efforts to communicate material changes.

3. Eligibility

You must be at least 18 years of age to create an account, make a purchase, or otherwise enter into an agreement with Seaynic Labs. If you are under 18, you may only use our Services under the supervision of a parent or legal guardian who agrees to these Terms on your behalf.

For Enchapter specifically: the app is designed for use by children under parental supervision. The parent or guardian is the account holder and responsible party under these Terms.

4. Accounts

Some Services require you to create an account. You agree to:

• Provide accurate and complete information when creating your account
• Keep your account credentials secure and confidential
• Notify us promptly at legal@seayniclabs.com if you suspect unauthorized access to your account
• Be responsible for all activity that occurs under your account

We reserve the right to suspend or terminate accounts that violate these Terms or that we believe, in our reasonable judgment, pose a risk to our Services or other users.

5. Purchases and Payments

5.1 General

When you make a purchase through our Services, you agree to pay the stated price for the product or subscription. All prices are in US dollars unless otherwise stated. We reserve the right to change pricing at any time; changes will not affect purchases already completed.

5.2 Subscriptions

Some Services are offered on a subscription basis. Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. You may cancel at any time through your account settings or by contacting us.

5.3 In-App Purchases (Enchapter)

In-app purchases and subscriptions for Enchapter are processed by Apple through the App Store. Billing, refunds, and subscription management for Enchapter are governed by Apple's terms and policies, not these Terms.

5.4 Digital Products

All sales of digital products (downloadable files, workflow kits, templates, and similar goods) are final unless otherwise stated at the time of purchase. Because digital products are delivered immediately upon purchase, we do not offer refunds except where required by applicable law or where a product is materially defective.

5.5 Refunds

For subscription-based Services other than Enchapter, contact legal@seayniclabs.com within 7 days of a charge if you believe a billing error has occurred. We will review and respond in a reasonable timeframe.

6. Acceptable Use

You agree to use our Services only for lawful purposes and in accordance with these Terms. You agree not to:

• Violate any applicable law or regulation
• Infringe the intellectual property rights of Seaynic Labs or any third party
• Reverse engineer, decompile, or disassemble any part of our Services
• Attempt to gain unauthorized access to any part of our Services or related systems
• Use our Services to transmit harmful, offensive, or fraudulent content
• Resell, sublicense, or redistribute our Services or digital products without written authorization
• Use our Services in any way that could damage, disable, overburden, or impair them

7. Intellectual Property

All content, software, designs, trademarks, and other materials comprising our Services are owned by or licensed to Seaynic Labs LLC. Nothing in these Terms grants you any ownership interest in our Services or intellectual property.

Digital products you purchase are licensed to you for personal or internal business use as described in the applicable End User License Agreement (EULA). The EULA governs the specific scope of your license for each product.

8. User Content

If you submit, upload, or otherwise provide content through our Services ("User Content"), you retain ownership of that content. By submitting User Content, you grant Seaynic Labs a limited, non-exclusive license to use, store, and display that content solely as necessary to provide the Services to you.

You represent and warrant that your User Content does not violate any third-party rights or applicable law.

9. Third-Party Services and Links

Our Services may integrate with or link to third-party services, platforms, or websites (including Apple App Store, marketplace platforms, and AI service providers). Seaynic Labs is not responsible for the content, privacy practices, or terms of those third parties. Your use of third-party services is governed by their own terms.

10. Disclaimers

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. We do not warrant that our Services will be uninterrupted, error-free, or free of harmful components.

AI-generated content within our Services (including story generation in Enchapter and learning guides in Hone) is produced by AI systems and may not always be accurate, complete, or appropriate for every context. You are responsible for evaluating AI-generated content before relying on it.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SEAYNIC LABS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OUR SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO SEAYNIC LABS IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you.

12. Indemnification

You agree to indemnify, defend, and hold harmless Seaynic Labs LLC and its members, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of our Services, your User Content, or your violation of these Terms.

13. Termination

We may suspend or terminate your access to our Services at any time, with or without notice, for any violation of these Terms or for any other reason we deem appropriate in our reasonable judgment. You may stop using our Services at any time.

Upon termination, provisions of these Terms that by their nature should survive (including intellectual property, disclaimers, limitation of liability, and governing law) will survive.

14. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last Updated" date and, where appropriate, notify you through our Services or via email. Continued use of our Services after changes take effect constitutes your acceptance of the updated Terms.

15. Governing Law and Disputes

These Terms are governed by the laws of the State of Tennessee, without regard to conflict of law principles. Any dispute arising out of or related to these Terms or our Services shall be resolved in the state or federal courts located in Montgomery County, Tennessee, and you consent to personal jurisdiction in those courts.

16. Miscellaneous

Entire Agreement. These Terms, together with our Privacy Policy and any applicable EULA, constitute the entire agreement between you and Seaynic Labs with respect to our Services.

Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

No Waiver. Our failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce it in the future.

Assignment. You may not assign your rights under these Terms without our written consent. We may assign our rights freely.
